Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Govur ("Govur," "we," "us," or "our") governing your access to and use of the Govur website, online courses, examinations, certification programs, and related services (collectively, the "Services"). By accessing or using the Services, creating an account, or making a payment, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Definitions

"Account" means the registered user profile through which you access the Services. "Content" means any text, video, images, exam material, or other material made available through the Services. "User-Generated Content" or "UGC" means Content submitted, posted, or transmitted by you. "Certification" means any credential, badge, or certificate issued by Govur upon successful completion of an examination. "Fees" means any amounts payable by you for access to courses, exams, or Certification.

2. Eligibility and Account Registration

2.1. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an Account. [BUSINESS DECISION: Since minors using an education platform is common and may require a separate consent mechanism and additional privacy safeguards under laws such as COPPA or GDPR-K.]

2.2. You agree to provide true, current, and complete information during registration and to promptly update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account.

2.3. You must notify us immediately at legal@govur.com of any unauthorized use of your Account or any other breach of security.

2.4. We reserve the right to refuse registration, or to suspend or terminate any Account, at our sole discretion, including where information provided is inaccurate, fraudulent, or incomplete.

3. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, each of which is incorporated herein by reference. If you do not agree with these Terms, you must stop using the Services immediately.

4. Changes to These Terms

4.1. We may revise these Terms from time to time to reflect changes in our Services, legal or regulatory requirements, or business practices.

4.2. For material changes, we will provide notice by posting a revised effective date on this page and, where reasonably practicable, via email or in-app notification at least [14] days before the changes take effect.

4.3. Your continued use of the Services after the effective date of any revised Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services and may close your Account.

5. License Grant and Acceptable Use

5.1. License Grant. Subject to your compliance with these Terms and payment of any applicable Fees, Govur grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your personal, non-commercial, educational purposes.

5.2. Prohibited Conduct. You agree not to:

• Copy, reproduce, distribute, publicly display, sell, rent, lease, sublicense, or otherwise exploit any Content without our prior written consent;
• Reverse engineer, decompile, or attempt to derive the source code of any software underlying the Services;
• Use any automated means (bots, scrapers, crawlers) to access the Services without authorization;
• Engage in academic dishonesty, including but not limited to impersonation during exams, use of unauthorized aids, collusion, or exploitation of automated grading systems;
• Upload or transmit any material that is unlawful, defamatory, obscene, infringing, or that violates the rights of any third party;
• Interfere with or disrupt the integrity or performance of the Services, including through introduction of malware or denial-of-service attacks;
• Use the Services in violation of any applicable export control, sanctions, or anti-money-laundering law, including in connection with cryptocurrency payments;
• Misrepresent your identity or affiliation, or use the Services to impersonate any person or entity.

5.3. Violation of this Section may result in immediate suspension or termination of your Account and, where applicable, revocation of any Certification, without prejudice to any other remedies available to us.

6. Intellectual Property

6.1. All right, title, and interest in and to the Services, including all Content, software, trademarks, logos, course materials, exam questions, and underlying technology, are and shall remain the exclusive property of Govur or its licensors. Nothing in these Terms transfers any ownership rights to you.

6.2. Except as expressly permitted under Section 5.1, no right, title, or interest in any Content is granted to you, whether by implication, estoppel, or otherwise.

6.3. All trademarks, service marks, and trade names used on the Services are proprietary to Govur or third parties. Nothing herein grants you any right to use such marks.

7. User Responsibilities

By using our Services, you agree to provide accurate information, maintain the security of your Account, and comply with all applicable laws. You are responsible for all activities under your Account and must ensure your actions do not harm or disrupt the Services, violate the rights of others, or constitute unethical or fraudulent behavior. Misuse of the Services may result in suspension or termination of your Account and forfeiture of any Fees paid, to the extent permitted by applicable law.

8. Payments, Billing, and Refunds

8.1. Access to certain courses, exams, and Certifications requires payment of Fees, which may be paid using fiat currency or cryptocurrency, as made available at checkout.

8.2. Cryptocurrency Payments. Where you elect to pay using cryptocurrency, you acknowledge and accept that: (a) cryptocurrency values are volatile and Fees may be calculated based on an exchange rate at the time of transaction; (b) blockchain transactions are generally irreversible; (c) you are solely responsible for the accuracy of wallet addresses and transaction details; and (d) Govur is not responsible for losses arising from network fees, delayed confirmations, incorrect wallet addresses, or fluctuations in cryptocurrency value. Ethereum is accepted and no third-party crypto-payment processor is used.

8.3. Subscriptions and Auto-Renewal. If any course or Certification access is offered on a subscription basis, it will automatically renew at the then-current rate at the end of each billing period unless cancelled prior to the renewal date. You may cancel auto-renewal at any time through your Account settings.

8.4. Chargebacks. Initiating a chargeback or payment dispute without first contacting us to resolve the issue may result in immediate suspension of your Account pending resolution, and we reserve the right to charge an administrative fee to recover costs associated with unwarranted chargebacks, to the extent permitted by applicable law.

8.5. Fees are non-refundable except as expressly set out in our Refund Policy, which governs eligibility, timeframes, and process for any refund requests.

9. Exams and Certification

9.1. As part of the Services, you may complete written examinations that are automatically graded using machine learning, natural language processing, or other automated technologies. You acknowledge that automated grading, while designed to be accurate, may be subject to error, and that Govur does not guarantee any particular score or outcome.

9.2. Certification is awarded solely at Govur's discretion based on satisfaction of applicable exam and program requirements. Certification does not constitute a warranty, guarantee, or representation of employability, professional competence, or any outcome, and Govur disclaims any such implication.

9.3. We reserve the right to withhold, suspend, or permanently revoke any Certification, and to invalidate exam results, where we reasonably suspect fraud, impersonation, unauthorized assistance, or other misconduct, whether discovered before or after Certification is issued.

9.4. If you dispute an exam result or grading outcome, you may submit a request for review within [30] days of the result via legal@govur.com. Govur's determination following such review shall be final.

10. User-Generated Content

10.1. You may be permitted to contribute Content to the Services, such as forum posts, comments, or submissions. You retain ownership of your UGC, but by submitting it you grant Govur a worldwide, royalty-free, sublicensable, transferable license to host, use, reproduce, modify, adapt, publish, and display such UGC in connection with operating and promoting the Services.

10.2. You represent and warrant that you own or have the necessary rights to your UGC and that it does not infringe the intellectual property, privacy, or other rights of any third party.

10.3. We reserve the right, but not the obligation, to monitor, moderate, edit, refuse, or remove any UGC that violates these Terms or that we deem, in our sole discretion, to be inappropriate, harmful, or objectionable, without notice.

11. Termination and Suspension

11.1. We may suspend or terminate your Account and access to the Services, in whole or in part, at any time and without liability, if we reasonably believe you have violated these Terms, engaged in fraud or illegal activity, or where required by law.

11.2. You may terminate your Account at any time by contacting legal@govur.com. Termination does not entitle you to a refund of Fees already paid, except as set out in our Refund Policy.

11.3. Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law shall survive termination of your Account or these Terms.

12. Disclaimers of Warranties

THE SERVICES, INCLUDING ALL CONTENT, EXAMS, AND CERTIFICATIONS, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOVUR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. GOVUR DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR EXAM GRADING OUTCOME.

13. Limitation of Liability

13.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOVUR, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR CRYPTOCURRENCY VALUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2. GOVUR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO GOVUR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) [CAD 100].

13.3. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you in full.

14. Indemnification

You agree to defend, indemnify, and hold harmless Govur and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your UGC; or (d) your violation of any third-party right, including intellectual property or privacy rights.

15. DMCA Compliance

We respect the intellectual property rights of others. If you believe that your copyrighted work has been used on our website, social media, applications, or any other platform we operate in a way that constitutes copyright infringement, please notify us at legal@govur.com with the following information:

• A description of the copyrighted work you claim to have been infringed.
• Identification of the material that you claim is infringing, including a URL, screenshot, or other specific location.
• Your contact information, including address, telephone number, and email address.
• A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Upon receipt of a valid notice, we will take appropriate action in accordance with applicable law, which may include removing or disabling access to the material identified as infringing. We also reserve the right to terminate the Accounts of repeat infringers.

16. Dispute Resolution; Arbitration; Class Action Waiver

16.1. Informal Resolution. Before initiating any formal proceeding, you agree to first contact us at legal@govur.com to attempt to resolve the dispute informally for at least [30] days.

16.2. Mediation. If informal resolution fails, the parties agree to attempt to resolve the dispute through mediation before a mutually agreed mediator.

16.3. Binding Arbitration. If mediation does not resolve the dispute within [60] days, any remaining dispute arising out of or relating to these Terms or the Services shall be resolved by final and binding arbitration administered under the rules of [ARBITRATION BODY, e.g., ADR Institute of Canada], conducted in [CITY, PROVINCE], in the English language, rather than in court, except that either party may bring an individual claim in small claims court. 16.4. Class Action Waiver. To the extent permitted by applicable law, you and Govur agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. 16.5. Nothing in this Section prevents either party from seeking injunctive or equitable relief for infringement or misuse of intellectual property.

17. Force Majeure

Govur shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or network failures, government action, pandemic, or failures of third-party payment processors or blockchain networks.

18. Third-Party Links and Services

Our website may contain links to third-party websites or services, including payment processors and cryptocurrency wallet providers. These are provided for convenience, and we do not control or endorse them. We are not responsible for their content, accuracy, or privacy practices. We recommend that you review the terms and privacy policies of these external services before interacting with them.

19. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information, including information collected during exams and payment processing. Please review it carefully.

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict-of-laws principles, and, subject to Section 16 (Dispute Resolution), any disputes shall be subject to the exclusive jurisdiction of the courts located in [PROVINCE/CITY, e.g., Ontario]. 21. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

22. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

23. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Govur's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

24. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Govur regarding the Services and supersede any prior agreements or understandings, whether written or oral.
